What is the Sr. Legal Specialist– Legal responsible for? In general, this position will be responsible for assisting one or more attorneys in carrying out the mission of the Legal Department. An individual in this position will be expected to develop subject matter expertise in one or more specific legal or regulatory areas and perform related tasks with minimal supervision. In addition, an individual in this position should have a solid understanding of the business area(s) he or she is serving, including its goals, function, procedures and operations. The Sr. Legal Specialist identified in this job description will be expected to support three primary areas: What are the ongoing responsibilities of a Sr. Legal Specialist– Legal? Form ADV and other Regulatory Filings: Time Requirements: Form ADV (Parts 1A and 2A) is amended for all SEC registered investment advisers, currently 18 forms, by submitting an annual amendment filing within 90 days of fiscal year (30 September for most advisers). The majority of the filing work is required between August & December every year. The main steps involved in the filing process are:

  • Prepare a summary sheet summarizing the changes to be filed for each adviser.
  • Finalize State notice filing analysis and confirmation of fees
  • Update list of last amendment filed
  • Request intranet posting and complete distribution to internal groups
  • File hard copies for internal use Other tasks related to Form ADV include assisting with filing Form ADV interim amendments throughout the year; creation of procedures and practice notes; and responding to questions posted to the Form ADV mailbox. Support for other regulatory filings include assisting with state notice filings and providing support to other business units in quarterly and annual filings with the CFTC. Alternative Products Time requirements: The work to support alternative products is relatively steady throughout the year, although it is dependent on the pipeline for alternative products and will increase slightly in August/September and February/March in preparation for the private funds’ Board meetings. The support of the alternative products include:
  • Support of semi-annual FT private fund board meetings
  • Support of GFAR in the filing of quarterly and annual Form PF filings for several FT RIAs as needed
  • Support of Form D filing process and related state filings
  • Maintainenance of FT private fund tracking spreadsheet and Sharepoint site
  • Assisting attorneys with launch and maintenance of funds, including K2 funds, as needed
  • Corporate secretarial work for FT private funds and related entities
  • Maintaining registration of FT private fund directors in the Cayman Islands.
Derivatives: Timing requirements: The work to support derivatives is generally constant throughout the year. Responsibilities include:
  • Implementation and maintenance of the CTA exemption spreadsheet to ensure CFTC compliance
  • Assisting with various aspects of the CSRC, including internal Legal department coordination as needed
What ideal qualifications, skills & experience would help someone to be successful? EDUCATION, AND EXPERIENCE
  • Bachelor degree or Associate degree with an emphasis on Paralegal studies or equivalent work experience
  • Approximately four years of relevant corporate experience.
  • Directly related experience in legal/compliance role for an asset management or financial services company a plus but not essential
  • Previous job history and training demonstrate:
  • excellent research, comprehension, analytical and decision making skills
  • excellent interpersonal skills; proven ability to inform and influence decision making
  • excellent communication skills; in-depth experience in drafting, editing and proofreading detailed correspondence, documents, reports and complex legal forms
  • Professional skills necessary to independently manage multiple complex projects involving confidential and detailed information. ADDITIONAL DESIRABLE QUALIFICATIONS
  • Current understanding of regulations, concepts, terminology, and processes applicable to the investment management industry
  • Business insight regarding FTI organization, policies, fund products and systems a plus


  • Ability to work independently
  • Knowledge of proper English usage, grammar, spelling, vocabulary and of generally accepted office practices, procedures and equipment
  • Ability to communicate effectively both orally and in writing
  • Excellent research, comprehension, analytical, proofreading and decision making; pays close attention to detail
  • Professionally and confidently interact with all levels of internal and external contacts; establish and maintain productive working relationships, resolving conflicts and exchanging pertinent information to meet common objectives
  • Ability to remain flexible and work under pressure
  • Advanced knowledge of business desktop applications (i.e., Microsoft Word, Excel, PowerPoint, Access & Project, Windows, Visio, etc.) required
  • Excellent planning, project management and progress reporting skills
  • Ability to maintain confidentiality
  • Ability to organize and prioritize workflow and to coordinate the work of others
  • Ability to maintain updated knowledge of procedures, products and activities of assigned area
  • Ability to perform multiple tasks in a fast-paced, team environment
  • Strong administrative and organizational skills and ability to accept responsibility for final work product
  • Works under general supervision and direction; participates in determining objectives of assignment; work is reviewed for accuracy and adequacy in meeting objectives; manages own activities in accomplishing objectives

  • Exercise discretion and judgment in independently determining best course of action within scope of delegated responsibilities
  • Initiate or recommend realistic solutions that are consistent with regulatory requirements and corporate guidelines and policies
  • Plan, schedule and arrange own activities to efficiently accomplish objectives of multiple assignments within required timelines, resolving conflicts as necessary to accomplish goals
